ESG Disclosure Requirements

How Listed Companies in Bahrain Should Prepare

Introduction

The Bahrain Bourse’s ESG reporting guidelines introduce significant disclosure obligations and reflect the growing importance of environmental, social, and governance considerations for listed companies. ESG reporting is increasingly becoming an important part of corporate transparency. Companies are expected to consider how their environmental impact, social responsibilities, and governance practices are communicated to investors and other stakeholders. For listed companies, preparation should therefore extend beyond simply producing an ESG report. Businesses should establish appropriate internal processes for collecting, reviewing, documenting, and reporting ESG information.

Understanding ESG Disclosure

ESG disclosures generally cover three broad areas. Environmental considerations may include matters such as energy use, emissions, environmental impact, resource management, and sustainability initiatives. Social considerations may include employees, workplace practices, human rights, community engagement, and other stakeholder-related matters. Governance considerations may include board structures, corporate governance, ethics, risk management, compliance, and transparency.

Preparing ESG Information

One of the key challenges for companies is ensuring that the information used for ESG reporting is accurate, consistent, and properly supported.

Companies should identify:

  • Relevant ESG information
  • Internal data owners
  • Reporting responsibilities
  • Sources of ESG data
  • Internal approval procedures
  • Documentation and supporting records
  • Applicable reporting requirements

Establishing these processes early can make ESG reporting more efficient and reliable.

Governance and Board Oversight

ESG reporting should not be treated solely as a communications or marketing exercise. Boards and senior management should understand the company’s ESG obligations and establish appropriate oversight mechanisms. Clear responsibility should be assigned for collecting information, reviewing disclosures, managing risks, and ensuring that public statements are properly supported.

ESG Claims and Greenwashing Risks

Companies should also exercise care when making public sustainability claims. Statements concerning environmental performance, sustainability initiatives, carbon reduction, or other ESG achievements should be supported by appropriate evidence. Overstated or misleading sustainability claims may create reputational, regulatory, and legal risks.

ESG Reporting and Risk Management

  • ESG disclosures should be considered alongside the company’s broader risk management framework.

Companies can benefit from reviewing their ESG-related:

    • Regulatory obligations
    • Public disclosures
    • Internal policies
    • Governance procedures
    • Environmental commitments
    • Supply-chain practices
    • Sustainability claims
    • Stakeholder communications

This can help identify inconsistencies or potential areas of exposure before information is published.
